Terms of Service

These Terms of Service (“Terms”) are an agreement between you and [Company legal name] (“SocialPin,” “we,” “us”). They cover your use of SocialPin's websites, creator pages and related services (the “Service”).

SocialPin is a creator platform that turns location-based social content into branded, interactive map experiences. Please read these Terms. By using the Service you agree to them.

1. Acceptance of Terms

By creating an account, importing content, publishing a creator page, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a business or another person, you confirm you are allowed to bind them to these Terms, and “you” includes them.

2. Eligibility

You must be at least 13 years old to use the Service, and old enough to form a binding contract where you live. If you are under the age of majority, a parent or guardian must agree to these Terms for you.

You must not use the Service if you have been barred from it, or if the law where you live prohibits it.

3. Account registration and security

You need an account to create a creator profile, import content, save places or use creator tools. You agree to give accurate information and to keep it up to date.

You are responsible for your account and for what happens under it. Keep your password and sign-in methods (including Google or Apple sign-in) private, and tell us right away at hello@socialpin.app if you think someone else has access. We are not responsible for losses caused by someone using your account without your permission, unless the law says otherwise.

4. Creator accounts

A creator account lets you build and publish a branded experience: a creator profile, places, reviews and recommendations, categories, favorites, your own terminology, and analytics about how people use your page.

  • You are the person in charge of your creator page and everything published on it.
  • Your page's public address (for example, socialpin.app/your-name) and any custom domain remain subject to these Terms.
  • Do not impersonate another person, brand or business, or choose a name or handle that infringes someone else's rights.
  • We may reclaim or change a handle that is misleading, abusive, inactive for a long period, or that infringes someone's rights.

5. Permitted use

You may use the Service to create and share location-based creator experiences, import and organize your own content, associate your content with real-world places, save places you like, and view analytics for your own pages. You may use the Service only as these Terms and the law allow.

6. Prohibited conduct

You agree not to:

  • break the law, or post anything illegal, defamatory, harassing, hateful, deceptive, sexually exploitative, or that threatens or promotes violence;
  • upload, import or link to content you do not have the right to use, or that infringes someone's copyright, trademark, privacy or other rights;
  • publish fake reviews, undisclosed paid endorsements, or recommendations you know are false or misleading, or violate advertising and disclosure rules that apply to you (including the FTC's endorsement rules);
  • import or scrape content from accounts you do not own or are not authorized to use, or bypass limits or permissions set by TikTok or any other platform;
  • attempt to access other people's accounts, data or creator pages, or probe, scan or test the Service for weaknesses without our written permission;
  • interfere with or overload the Service, introduce malware, or use bots or automated means to access it except through features we provide;
  • reverse engineer the Service, or use it to build a competing product, except where the law allows;
  • use the Service to send spam or to collect personal information about others without their consent; or
  • help or encourage anyone else to do any of these things.

7. Creator content ownership

You keep ownership of the content you create or submit to the Service, including your videos, captions, photos, ratings, reviews, descriptions, logos and branding (“Your Content”). These Terms do not give us ownership of Your Content.

Content owned by others, such as music, third-party logos, or videos made by someone else, stays with its owners.

8. License you grant to SocialPin

To run the Service, you give SocialPin a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, link to and distribute Your Content, only as needed to operate, secure, improve and promote the Service. In practice, this lets us show your places, reviews, thumbnails and embedded videos on your creator page, in search and sharing previews, and in analytics, and run it through the processing described in Section 15.

We may also use your name, handle and public creator page, in a reasonable way, to show examples of the Service (for example, a featured creator showcase) unless you ask us not to at hello@socialpin.app.

The license lasts while Your Content is on the Service and for a reasonable time afterward so we can remove it from backups and caches. It continues for content that other people have already saved or shared in lists, to the extent needed to keep those items working, unless you delete it. We do not sell Your Content.

9. Third-party social media content

The Service works with content hosted on other platforms, mainly TikTok. That content, and the accounts it comes from, are owned and controlled by those platforms and their users, not by SocialPin.

  • Your use of a platform remains governed by that platform's own terms and policies. You are responsible for following them.
  • We are not affiliated with, endorsed by or sponsored by TikTok or any other platform. Their names and logos belong to them.
  • A platform can change or remove content, access or features at any time. If it does, content on your SocialPin page that depends on it may stop working, and we are not responsible for that.

10. TikTok content and links

You can add TikTok videos to SocialPin by pasting their links or, where available, by connecting your own TikTok account. When you connect your account you authorize SocialPin to access only the information TikTok allows through its official developer tools and that you approve, such as your public profile details and the list of your own videos, so you can choose which to import.

  • We only use this access to show you your videos and import the ones you choose. We do not post to your TikTok account.
  • You can disconnect TikTok at any time from your Import page or TikTok's own settings. When you disconnect, we delete the access credentials we stored.
  • Imported items link back to the original TikTok video. Videos remain on TikTok, and if you delete a video there or make it private it may stop appearing on SocialPin.
  • You may import only videos you created or that you are otherwise authorized to use.

11. Embedded content

Where we show a TikTok or other platform video on a page, we usually do so with that platform's official embed or link. Embedded videos are served by the platform, may set their own cookies, and are subject to its terms and privacy policy. If an embed stops working, the original content may have been removed or restricted.

12. Creator responsibility for imported content

You are solely responsible for everything you import, connect, publish or share through SocialPin. Before you publish, make sure you have the rights to the content, that it follows the law and the rules of the platform it came from, and that any sponsorship or partnership is properly disclosed.

We may remove or disable content, or limit features, if we reasonably believe it breaks these Terms, a platform's rules, or the law.

14. Location data and place information

SocialPin associates content with real-world places and shows them on maps. Place details such as names, addresses, categories, hours, photos and map positions can come from creators, our own processing, and third-party services such as Mapbox and Google Maps Platform or Google Places.

  • If you allow your device to share its location, we use it to show nearby places and distances. How location data is handled is described in our Privacy Policy.
  • You can turn location sharing off in your browser or device settings. The Service still works without it.
  • Maps and place data from third parties are subject to their own terms. We do not promise that map data is complete, current or free from errors.

15. AI-generated and AI-assisted metadata

To save you time, SocialPin uses artificial intelligence to read information about the content you import, such as captions, video details and any transcript you provide, and to suggest details such as the place name, location, dishes, a rating, a recommendation and categories. We send that information to AI providers such as OpenAI, and other providers we may add, only to produce these suggestions.

  • AI output can be wrong, incomplete or out of date. It can misread a place, pick the wrong location, or misstate a rating or a dish.
  • Suggestions are drafts. You are responsible for reviewing, correcting and approving everything before it is published under your name.
  • We do not promise the accuracy of AI extraction, and you should not rely on it without checking.
  • Do not include sensitive information in captions or transcripts you submit for processing.

16. Ratings, reviews and recommendations

Ratings, scores, verdicts and recommendations on creator pages are the personal opinions of the creator who posted them. They are not statements by SocialPin, and we do not verify them. Creators must base them on their genuine experience and must follow applicable disclosure rules for sponsored or gifted visits.

17. Saved places and lists

Visitors with an account can save places and organize favorites. Saved items are private to the visitor unless they choose to share a list. If a creator removes a place or page, it may disappear from saved lists. A saved place is only a bookmark: it does not mean the place is open, available or endorsed.

18. Analytics

We collect usage data about creator pages, such as page views, searches, saves and clicks, and show creators summaries of it. Creator analytics are meant to help you understand your audience. Numbers can be approximate or delayed, and we do not guarantee their accuracy. How we collect and protect this data is described in the Privacy Policy.

19. Third-party services and links

SocialPin relies on third-party services to work, including TikTok, Supabase (database and sign-in), Vercel (hosting), Mapbox and Google (maps and place data), OpenAI and other AI providers (metadata suggestions), Resend (email), and analytics providers. Their terms and privacy policies apply to what they do, and an outage or change on their side can affect the Service.

The Service may link to websites and content we do not control. We are not responsible for them. Following a link is at your own risk.

20. Subscriptions, fees and billing

SocialPin may offer free and paid plans. The features and prices of each plan are shown on our pricing section or at checkout and may change over time.

  • Paid plans: by choosing a paid plan you agree to pay the fees shown, plus any taxes. You authorize us, or our payment processor, to charge your payment method.
  • Renewals: unless we say otherwise at purchase, subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price until you cancel.
  • Price changes: we will give reasonable notice before a price change affects your next renewal. If you do not agree, you can cancel before it takes effect.
  • Cancellation: you can cancel at any time from your account's subscription settings or by contacting us. Cancellation stops future renewals; you keep paid features until the end of the period you paid for.
  • Refunds: except where the law requires, fees are non-refundable and we do not give partial refunds for unused time. If you think you were charged by mistake, contact us within 30 days and we will review it.
  • Free trials and promotions: if we offer a free trial, we will say how long it lasts and what happens when it ends. A trial may convert to a paid plan unless you cancel before it ends.
  • Failed payments: if a payment fails, we may retry it, suspend paid features, or move your account to a free plan.

Legal review: pricing is not final. Confirm the refund wording, automatic renewal disclosures and sales-tax handling for the states you sell in (several states have specific auto-renewal laws).

21. Custom domains

Where custom domains are available on your plan, you may point a domain you own or control at your creator page. You are responsible for the domain, its DNS settings and renewals. You must verify ownership in the way we require. We may disable a custom domain that is unverified, abusive, or that points to a page that breaks these Terms. If your plan ends, the domain may stop working.

22. Service availability and changes

We work to keep SocialPin available, but we do not promise uninterrupted or error-free service. We may perform maintenance, and we may change, add or remove features, limits or plans. If we make a change that significantly reduces what you have paid for, we will give reasonable notice where practical.

23. Suspension and termination

You may stop using the Service at any time. You may ask us to delete your account by emailing hello@socialpin.app. We will delete or de-identify your personal information as described in the Privacy Policy.

We may suspend or end your access, with notice where practical, if you break these Terms, create risk or legal exposure for us or others, do not pay fees, or if we stop offering the Service. We may remove content immediately where needed to protect people or comply with the law.

After termination, your right to use the Service ends, and published creator pages may be taken offline. Some data may remain for a limited time in backups, or longer where the law requires us to keep it (for example, billing, tax and security records, or to resolve a dispute). Sections that by their nature should survive termination, such as ownership, disclaimers, limitation of liability and dispute resolution, will survive.

24. SocialPin intellectual property, trademarks and feedback

The Service, including its software, design, text, graphics and the SocialPin name, logo and marks, belongs to [Company legal name] or its licensors and is protected by law. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service as intended; they do not transfer any ownership. You may not use our trademarks without our written permission.

If you give us ideas, suggestions or feedback, you agree we may use them without restriction or payment to you.

25. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.

  • We do not guarantee that restaurant or place information (names, addresses, hours, menus, prices, photos or positions) is accurate, complete or current.
  • We do not guarantee that creator ratings, reviews or recommendations are accurate, unbiased or right for you.
  • We do not guarantee that a place is open, safe, accessible, available or suitable. Check directly with the business before you go, and use your own judgment about your safety, allergies and dietary needs.
  • We do not guarantee that AI-generated metadata, analytics, or third-party content is accurate.

Some places do not allow certain disclaimers, so some of the above may not apply to you.

26. Limitation of liability

To the fullest extent the law allows, [Company legal name], its affiliates and their directors, employees and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising from or related to the Service or these Terms, even if we were told it could happen.

Our total liability for any claim relating to the Service or these Terms is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim arose, or (b) US $100.

Nothing in these Terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence where that law applies.

Legal review: confirm that the liability cap and the exclusions are enforceable in the states where you expect most customers.

27. Indemnification

You agree to defend, indemnify and hold [Company legal name] and its affiliates, officers, employees and agents harmless from claims, damages, losses and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of anyone else's rights or any platform's rules.

28. Dispute resolution

We would like to hear about a problem first. Before filing a claim, please email [Legal contact email] and give us 30 days to try to resolve it informally.

If we cannot resolve it, any dispute will be decided by the state or federal courts located in [Governing state], and you and we consent to their jurisdiction and venue, except that either party may bring an eligible claim in small claims court, and either party may seek an injunction to protect intellectual property.

To the extent the law allows, claims must be brought individually, not as part of a class or representative action.

Legal review: these Terms deliberately do not include mandatory arbitration. If you want arbitration or a class-action waiver, have counsel draft and review it before adding it.

29. Governing law

These Terms are governed by the laws of the State of [Governing state] and applicable U.S. federal law, without regard to conflict-of-law rules.

30. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice, for example by email or a notice in the Service, and update the “Last updated” date above. Changes apply going forward. If you keep using the Service after they take effect, you accept the new Terms. If you do not agree, stop using the Service and delete your account.

31. General

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in effect. Our not enforcing a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition or sale of assets.
